Abstract

PT PLN (Persero) Southern Sumatra Generation and Wika-Navigat Consortium signed a rent purchase agreement of Borang Gas Power Plant 60 MW Generator on 11 July 2011. It is an EPC (Engineering, Procurement and Construction) agreement with BOT (Built Operate Transfer) system. There was a delay from the Consortium of 183 days for plant unit 1 and 200 days for plant unit 2. Because of the delay, PT PLN (Persero) Southern Sumatra Generation had asked a warranty that implementation extended. It is the normative law study with the following Problem: (1) Can the requests for warranty of implementation extension extend the time of construction implementation? (2) Does by not exercising the right to declare tort action mean that they approve of the time of construction extension? And, (3) Does by not exercising the right to declare tort action mean that they lose their right to enforce amercement? ? From the results, it is concluded that: (1) The request of the warranty of implementation extension cannot extend the time of construction implementation because it is stated in Work Plan and Condition of Volume I Part 2 number 2.40 that " Implementation time Extension is written in an Amendment agreed upon by both parties that the request of the warranty of implementation extension cannot be the basis of the extension”. Furthermore, in code of Civil law chapter 1338 it is stated that agreement binds both parties as a regulation;.(2) By not exercising the right to declare tort action does not mean that they approve of the time of construction extension because the contractor has been negligent in this case; (3) PT PLN (Persero) by referring to code of civil law chapter 1320 and 1338 that a valid agreement agreed upon by parties and binds them as regulation, by not exercising the right to declare tort action they do not lose their right to enforce amercement. It is Suggested that; (1) The parties must abide to term in the Agreement; (2) Agreements in between state-owned companies should be solved in a discussion or by requesting the Ministry of state-owned Companies as the intermediary before proceeding to Indonesian National Arbitrage Agency, and (3) PT PLN (Persero) append chapter in Directors Regulation on goods and Services Guidelines No. 0620.K / DIR / 2013 by referring to President of Republic of Indonesia Regulation No. 16 year 2018 on Government Goods and Services Procurement in Chapter 56 about Contract resolition
