Abstract

ABSTRAK Kehadiran perusahaan agen dalam pengadaan barang dan jasa BUMN yang belum ada pengaturan hukum secara khusus mengenai perusahaan agen di Indonesia menimbulkan sebuah permasalahan. Untuk mengkaji permasalahan menggunakan metode penelitian yuridis normatif, yang bertujuan menganalisis pengaturan terkait keberadaan perusahaan agen dalam pengadaan barang dan jasa BUMN. Berdasarkan hasil penelitian pertama, kedudukan hukum antara perusahaan agen dengan produsen (prinsipal) dalam Peraturan Menteri Badan Usaha Milik Negara Nomor PER-08/MBU/12/2019 tentang Pedoman Umum Pelaksanaan Pengadaan Barang dan Jasa Badan Usaha Milik Negara ialah sebagai penyedia barang dan jasa saja tidak diatur secara khusus dan terpisah terkait perusahaan agen dan produsen (prinsipal) sehingga menimbulkan ketidakpastian hukum. Kedua, tanggung jawab hukum perusahaan agen dan produsen (prinsipal) atas terjadinya kerusakan barang/atau jasa yang menimbulkan kerugian terhadap badan usaha milik negara, dalam hal ini tanggung jawab berupa perbuatan melawan hukum sehingga ditinjau dari beberapa peraturan hukum maka produsen (prinsipal) yang akan bertanggung jawab atas kerusakan barang dan/jasa tersebut sepanjang agen tidak melakukan penyimpangan dalam batas-batas wewenang yang diberikan kepadanya. Ketiga, adapun pengaturan hukum yang ideal terkait kedudukan dan tanggung jawab perusahaan agen dalam pengadaan barang dan/atau jasa badan usaha milik negara pada masa yang akan datang ialah diperlukan pengaturan hukum berupa Undang-Undang dan Peraturan pemerintah dalam hal ini termasuk Peraturan Kementerian BUMN yang dimaksud mampu menjadi payung hukum terkait keberadaan serta tanggung jawab perusahaan agen dan produsen (prinsipal) secara umum dan khusus yang diatur dalam peraturan perundang-undangan sehingga bersifat lebih mengikat. Diharapkan dengan adanya pengaturan tersebut para pihak akan mendapatkan suatu kepastian hukum dan keadilan terhadap segala kemungkinan resiko yang terjadi dalam hal pengadaan barang dan jasa BUMN. Kata Kunci : Agen, Barang dan Jasa, BUMN, Pengadaan, Prinsipal ABSTRACT The existence of agency in the procurement of goods and services for State-Owned Enterprises with no specific legal regulations regarding the companies in Indonesia creates a problem. The study was aimed at analysing the regulations regarding the existence of agency companies in the procurement of goods and services for State-Owned Enterprises. This study was normative legal research. The result of the study were the following. First the legal position between agency companies and procedures (principals) in the Regulation of the Minister of State-Owned Enterprises No. PER-08 MBU/12/2019 concerning General Guidelines for the Implementation of the Procurement of Goods and Services for State-Owned Enterprises is as providers of goods and services. Because the regulation was not specifically and separately regulated the agency companies and producers (principals), it created legal uncertainty. Second, as for the legal responsibility of the agency companies and producers (principals) for the occurence of damage to goods or services causing losses to state-owned enterprises, in this case responsibility is in the form of acts against the law, in terms of several legal regulation, the producers (principals) would be responsible for the damage to the goods and/services as long as the agency companies did not deviate within the limits of the outhority given to them. Third, as for the ideal legal regulation regarding the position and responsibility of the agency companies in the procurement of goods and/or services of State-Owned Enterprises in the future, there should be laws and government regulations, including the regulations of the Ministry of State-Owned Enterprises, as the legal umbrella concerning the existence and responsibilities of agency companies and procedures (principals) in general and specifically as they are regulated in laws and regulations, they are more binding. With the laws and regulations, the parties would get legal certainty and justice against all possible risks that occur in the procurement of goods and services for State-Owned Enterprises.
