Abstract

Penelitian ini membahas tentang akta perjanjian kerjasama perseroan terbatas yang dibuat di hadapan notaris yang merangkap jabatan sebagai direktur perseroan terbatas; sehingga permasalahan yang di angkat adalah akibat hukum dari akta perjanjian kerjasama Perseroan Terbatas yang dibuat dihadapan notaris yang merangkap jabatan sebagai direktur perseroan terbatas; Penerapan sanksi hukum terhadap notaris yang merangkap; Tanggung Jawab Hukum Notaris yang dikenakan Sanksi hukum akibat merangkap Jabatan sebagai Direktur Perseroan Terbatas; Penelitian ini termasuk penelitian normatif dengan metode pendekatan perundang-undangan, pendekatan konseptual dan pendekatan kasus; jenis dan bahan hukum diperoleh dari bahan hukum prime, sekunder dan tersier; dikumpulkan dengan cara analisis kualitatif dan menggunakan teknik penarikan kesimpulan deduktif; Hasil penelitian ini adalah Akta kerjasama yang dibuat oleh notaris yang merangkap jabatan adalah batal demi hukum; proses penerapan sanksi yang merangakap jabatan adalah melalui Majelis Pengawas Daerah dengan melakukan pemeriksaan terhadap notaris yang bersangkutan berdasarkan laporan dari masyarakat yang merasa dirugikan kemudian memberikan rekomendasi hasil pemeriksaan berjenjang kepada Majelis Pengawas Wilayah, Majelis Pengawas Pusat dan Menteri Hukum dan Hak Asasi Manusia Republik Indonesia; Tanggung Hukum Notaris yang dikenakan sanksi adalah sesuai dengan hasil keputusan dari Badan Pengawas Notaris yang telah bersifat final; Direkomendasikan kepada Perusahaan dan Masyarakat hendaknya memahami peraturan tata laksana perusahaan yang baik agar tidak mendapati kerugian dalam bekerjasama; Bagi Notaris dan Ikatan Notaris Indonesia harus berhati-hati, amanah dan jujur dalam menjalankan tugas serta perlunya peran pengawasan dalam menghadirkan Notaris yang amanah dan professional. Kata Kunci: Akibat Hukum, Akta Notaris, Rangkap Jabatan This study discusses the deed of limited liability partnership agreement made before a notary who also serves as director of a limited liability company; so that the issue raised is a legal consequence of the Limited Liability Company cooperation agreement deed made before a notary who concurrently serves as a director of a limited liability company; Application of legal sanctions against concurrent notaries; Legal Liability of a Notary who is subject to legal sanctions due to concurrent positions as Director of a Limited Liability Company; This research includes normative research with a statutory approach, conceptual approach and case approach; types and legal materials obtained from primary, secondary and tertiary legal materials; collected by means of qualitative analysis and using deductive inference techniques; The results of this study are that the cooperation deed made by a notary who holds concurrent positions is null and void; the process of applying sanctions that concurrently holds positions is through the Regional Supervisory Council by conducting an examination of the notary concerned based on reports from the public who feel aggrieved then providing recommendations on the results of the tiered examination to the Regional Supervisory Council, Central Supervisory Council and the Minister of Law and Human Rights of the Republic of Indonesia; The legal responsibilities of a Notary who are subject to sanctions are in accordance with the final decision of the Notary Supervisory Board; It is recommended that companies and communities should understand the rules of good corporate governance so that they do not experience losses in working together; Notaries and the Indonesian Notary Association must be careful, trustworthy and honest in carrying out their duties and the need for a supervisory role in presenting a notary who is trustworthy and professional.
