Abstract

This thesis entitled Change of Partner Status of Commanders (CV) to Limited Company (PT). Thesis writing is motivated by the beginning of the establishment of CV usually with limited capital, when the CV develops, making the allies want to expand its business by changing the status of the CV to be incorporated form of PT. During the establishment of a business entity of the CV of the existence of various engagements both internal and external. Notaries become officials who are very instrumental in the process of changing the CV to PT. The problems that will be discussed in this paper is whether the legal reason in the change of CV status to PT, how the effect of the law changes the status of CV to PT to the engagement that has been made, and how the role of Notary in the change of CV status to PT. The research method used is the normative legal research empirically. Data collection techniques used are literature research to obtain legal theories and conduct structured interviews with Notary who analyzed descriptively qualitative to deductive deductive deductions. Based on the research that has been done, then obtained the result of the legal reason to change the status of CV to PT, because the requirements of work, limited responsibility on the PT, the concept of rules of the PT more clear and concrete, and the terms of business license. As a result of the law, the change of CV status into PT to the engagement that has been made by CV that is due to internal law, CV broke up because the change of CV status into legal entity PT, against allies and workers then the responsibility of CV, if it is agreed to switch assets into PT, is the responsibility of PT. The consequence of external law against the bank then happens Novasi. Notary's role in this case is: Form of role of notary, that is giving legal counseling, formulation of contents of establishment deed of PT, and make sure that CV have done asset decree. The process of the role of a notary is the ordering of CV assets, ordering the name of the PT, the establishment of the deed of establishment of PT, the announcement in 2 national newspapers, the process of ratification, the list of the company, Announcement in BN / TBN RI. Barriers to the role of Notary: the proposed name is rejected by the system, the presence of bad faith elements of the CV ally, the lack of specific rules regarding the change of CV to PT, and limited access to SABH. Suggestions for confronting to be subject to the rules and preordering of CV assets. Notaries should always apply the principles of prudence, honesty, and always guided by the applicable legislation. The government should formulate the legal rules of CV and change the status of CV to PT to create legal certainty for the community.
