Abstract

Private Hospital can be organized by Foundation or other social legal entity. Based on Constitutions number 28 years 2004, the foundation should purely implement the social function. Private hospital with foundation type faces dilemma between social function and commercial function. This condition making the stakeholders who have a business entity from social Foundation trying to find and change the core business becomes a commercial company. This thesis research about the transformations procedures form AR Muhamad foundation into AR Muhamad Company. then research about the responsibility form the foundation's community board that changed into PT and what role of Notary for the transition process. While doing this research, there is a sociological juridical approach method that researches that begins with library research then continue with interview method. This research is a normative research which also conducts interview process with the Notary who handles the asset transferring process of AR Muhamad Foundation. This study is a normative study that analyzes a law's enforceability. Performed by examining legal materials, such as research on legal principles, positive law, legal rules and legal methods. This study uses three methods of approach in legal research: Statutory Approaches, Conceptual Approaches, and Comparative Approaches. The overall data is obtained then analyzed qualitatively. The result of the research shows that the process of change of AR Muhamad Foundation to PT is by dissolving the Foundation mechanism by calculating all existing Foundation’s assets, then transferring it to the company’s capital which will be established to become PT special core business of the hospital.
