Abstract

Investors significantly require capital market legal protection regulation since the capital market is one of the biggest pillars of capital in the development of Indonesia. To that cause, OJK facilitates the Disgorgement clause contained in OJK regulation Number 65/pojk.04/2020 to enforce the Law on Return of Unauthorized Profits against perpetrators of capital market crimes so that they do not enjoy the proceeds of their crimes. However, in practice, investors are not protected to an optimal extent as indicated by existing crimes committed by capital market securities management every year. This study discusses the application of disgorgement clauses as an effort to realize the principle of transparency in the management of capital market companies in Indonesia, the obstacles to the application of disgorgement clauses in the capital market, and the ideal arrangements to implement the principle of transparency in the management of capital market companies in Indonesia. This is normative legal research with statutory, conceptual, analytical, historical, case and theory approaches. the results show that the application of the disgorgement clause is not optimal in explaining the concept of remedial action or penalty setting, as experienced in the use of the disgorgement clause in the United States which is still being debated on its legal certainty, as well as related to the technical process of returning funds takes a long time and is not clear the time and amount of funds to be returned. while the factors underlying the lack of maximum implementation are due to juridical an non-juridical factors both in terms of management and the community itself, the ideal arrangement for implementing the disgorgement clause is legal by creating harmonization between the Capital Market Law and the Financial Service Authority Regulations so that it does not result in multiple interpretations which can lead to new conflicts. On a non-juridical basis, by creating a managerial system that is strategic and calculative, so as to enhance a good corporate management culture and be transparent about the value of relational relationships based on high morality, namely increasing a culture of trust in all capital market customers.
