Abstract

In all business activities, everyone wants to make a profit. However, it is often unavoidable to lose or event to go bankcrupt. A limited liability company as a business entity that is currently in demand can also be declared bankcrupty decision resulting in all the company’s assets including trademarks being transferred under the control of the authorities. The objectives of the study entitled the Execution of Brands as Assets of the Limited Liability Company Declared Bancrupty are: to analyze the execution of brands as assets of a limited liability company declared bankcrupt, to determine the price of brands as assets of a bankcrupt limited company, to determine the role of a Notary in the agreement to transfer brands as assets of a bankrupt limited liability company, and to provide legal protection for the third part who was the recipient of the licences of brands as assets of a bankrupt limited liability company. This study uses a normative legal study method, which concludes that: 1. The execution of brands is carried out in accordance with the laws and the regulations and is carried out by the curator under the supervision of a supervisory judge. 2. The determination of the brand price is carried out by an appraiser using a market price approach in accordance with the Indonesian Guiding Standards. 3. The transfer of the brands is required to be registered with the Director General of Intellectual Property Rights in accordance with the applicable regulations, but it has not been explicitly regulated that the transfer of the brands must be accompanied by the making of a deed; 4. The legal protection for the third party receiving the trademark licences can be in the form of presentive and repressive protection so that it can obtain comensation
